Visiondata Ltd, trading as Visiongain and Vision2Data provides access to visiongain.com and supplies products and services subject to the terms and conditions set out on this page. Any use of www.visiongain.com or products and services supplied by Visiongain and Vision2Data constitutes an agreement to be bound by these terms and conditions. Changes to these terms and conditions may be made at the discretion of Visiondata Ltd, and it is the responsibility of the site user or customer to check the terms and conditions before using the site or placing an order. The terms and conditions applying to each use of the site or regarding an order placed are those accepted at the time that the site is used or an order is placed. Please note that the law of England and Wales governs all Visiondata Ltd contracts.

Terms and conditions of use

Access: Visiondata Ltd will do its utmost to ensure that the availability of the website will be uninterrupted and that transmissions will be error-free. However, this cannot be guaranteed. Access to the website may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. Visiondata Ltd will attempt to limit the frequency and duration of any such suspension or restriction. Visiondata Ltd reserve the right to refuse access to the website, terminate accounts, and remove or edit website content at their own discretion. All website transactions must be verified before we can release reports.

Accounts: When establishing an account on www.visiongain.com, the details provided should be correct and complete, and Visiondata Ltd should be informed of any changes to these details immediately. Account holders accept responsibility for maintaining the confidentiality of their account and password, as well as all activities that occur under this account or password. All necessary steps should be taken to ensure that the password is kept confidential and secure, and Visiondata Ltd should be informed immediately if there is any reason to believe that the password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.

Terms and conditions of sale

Payment terms: By submitting an order for a product or service with Visiondata Ltd, the customer agrees without limitation or qualification to complete the transaction. The customer expressly acknowledges and agrees that Visiondata Ltd can withhold the product or service as a result of non-payment within the agreed credit terms of 30 days. Payments may be made by credit or debit card or by wire transfer. The customer is responsible for all bank charges relating to the wire transfer. If the dispatch of an order cannot be fulfilled or is delayed, the customer will be notified. To qualify for report discounts, payment must be made within 30 days of invoice date.

*A late fee of 2.5% will be automatically added to all over-due payments.

An admin charge of up to £50 may be applied to any amendment of invoice such as date or address change, or a refund. All our prices are exclusive of VAT and default currency for invoicing is GBP. All transaction charges are the responsibility of the client. We do not accept cheques.

Late Payment Visiondata Ltd relies on the Late Payment Act and reserves the right to claim all reasonable out of pocket expenses from a debtor if third parties are used for debt collection purposes.

Refund and Cancellation Policy: Refund and Cancellation Policy: The descriptions of the products and services sold on visiongain.com are as complete and accurate as possible, and customers are encouraged to read all available information about a product before placing an order. Due to the nature of the information being sold, orders for reports cannot be cancelled.

Limitation of Liability: To the fullest extent permitted by applicable law, neither Visiondata Ltd, trading as Visiongain and Vision2Data, nor any of its directors, employees, affiliates or other representatives will be liable for loss or damages arising out of or in connection with use of, or inability to use, the Products, Materials, Software and/or facilities or services offered by Visiongain, including, but not limited to, indirect or consequential loss or damages, loss of data, income, profit or opportunity, loss of or damage to property and claims of third parties, even if Visiongain has been advised of the possibility of such loss or damages, or such loss or damages were reasonably foreseeable.

Report Licenses

On-demand and published work: On-demand products are delivered within six working days, and published titles are delivered within 24 hours.

Intellectual Property, Data Use and Publication Rights

Ownership and Permitted Use

All Visiongain reports, research, forecasts, datasets, charts, tables, analysis and associated materials are proprietary products of Visiondata Ltd, trading as Visiongain, or its respective licensors.

Purchase of a report grants the customer a limited, non-exclusive, non-transferable licence to access and use the research for internal business purposes, subject to the terms of the licence purchased. Ownership of the research and associated intellectual property remains with Visiondata Ltd or its respective rights holders.

Publicly Available Research and Attribution

Visiongain encourages accurate citation of selected research findings, market estimates and statistical figures publicly released on visiongain.com, in press releases or through authorised editorial communications.

Journalists, news organisations, industry publications and other third parties may reference limited individual findings from publicly available Visiongain materials, provided that:

• Visiongain is clearly acknowledged as the original research source.
• Online publications include a link to the relevant Visiongain webpage wherever reasonably practicable.
• Findings are accurately represented, including relevant dates, units and qualifications.
• The use does not imply Visiongain’s endorsement, sponsorship or commercial association.
• The use does not involve substantial reproduction, systematic extraction or redistribution of proprietary research content.

Customers may also cite limited individual findings from purchased reports with appropriate attribution, provided such use is not for advertising, product promotion, commercial endorsement or other restricted activities described below.

Public availability does not constitute permission to reproduce complete reports, substantial extracts, proprietary charts, tables, datasets or forecasting models.

Excel Datasets and Underlying Data

Purchase of a report does not automatically include access to Excel spreadsheets, underlying datasets, forecasting models or other machine-readable research materials.

Such materials are supplied only where expressly included in the purchased product, priced separately or specially agreed in writing by Visiongain.

No report licence, including Site, Enterprise or Global, automatically entitles the customer to receive, reproduce, redistribute or commercially exploit underlying datasets.

External Publication and Reproduction

The following activities require Visiongain’s prior written authorisation under a separate licensing agreement:

• Reproduction or republication of substantial report extracts, charts, tables, datasets or analyses.
• Publication or distribution of collections of research findings, market forecasts or proprietary data.
• Incorporation of report content into commercial publications, subscription services, databases or competing research products.
• Redistribution, resale or sub-licensing of proprietary report content to third parties.
• Co-branded publications or commercial collaborations involving Visiongain research.

Any such agreement may be subject to additional fees, editorial approval and restrictions on the authorised content, purpose, duration and distribution.

Commercial and Promotional Use

All report licences, including Site, Enterprise and Global licences, are intended for internal business use and do not grant rights to use Visiongain’s proprietary research in external advertising, marketing campaigns, sales promotions, sponsored content, product endorsements or other commercial promotional activities.

The limited permission to cite individual research findings with attribution does not extend to promotional activities where Visiongain research is used to support, validate or promote the customer’s products, services or commercial claims.

Any such use requires Visiongain’s prior written approval and, where applicable, a separate paid publishing or promotional licensing agreement.

The availability of selected findings on Visiongain’s website, or the purchase of a Site, Enterprise or Global licence, does not confer additional promotional or republication rights.

No customer may use Visiongain’s name, trademarks, logos or research in a manner suggesting that Visiongain endorses, sponsors, approves or is commercially associated with the customer’s products, services or activities without express written authorisation.

Reservation of Rights

No report licence automatically grants external publishing, redistribution, sublicensing or promotional rights beyond the limited citation and attribution permissions expressly stated above.

Purchase of a report does not guarantee approval for external publication, promotional use or a co-branded collaboration.

All rights not expressly granted remain reserved by Visiondata Ltd, subject to applicable law. Nothing in these terms excludes or restricts uses permitted by mandatory provisions of applicable law, including relevant copyright exceptions.

License Descriptions

Report Licenses: By submitting an order for a product or service on visiongain.com, the customer agrees and represents that they are buying for their own internal use only, and not for resale or export. Once you have opened a Visiondata Ltd report, due to the nature of the product, you would have an irreversible contractual obligation to pay. Use of any report ordered on visiongain.com is also bound by the license types below:

Single User License: This license allows for use of a report by one named person, explicitly confirmed at point of sale. This person may use the report but may not share the report (or any information contained therein) with any other person or persons. Unless a Team License, a Site License or an Enterprise License is purchased, a Single User License must be purchased for every person who wishes to use the report within the same enterprise. The license is valid for 12 months from when the report is sent. Customers who infringe these license terms are liable for damages which may easily exceed £35,000. You may not print a single user licence. Should you wish to print a copy of the report, you would need to upgrade to a Team licence or above. The report is in PDF format.

Team License: This license allows for use of a report by six people within the exact enterprise location. You may print a copy of the report under each user. Each person may use the report but may not share the report (or any information contained therein) with any other person or persons. Visiongain provides a service whereby we print, bind and ship a hard copy report for you, in full colour for a fee of £500 + VAT. However, this service is only available for clients with a Team licence or above. The license is valid for 12 months from when the report is sent. Customers who infringe these license terms are liable for damages which may easily exceed £35,000. The report is in PDF format.

Site License: This license allows for use of a report by an unlimited number of people within the same enterprise location. Each of these people may use the report on any computer, and may print out the report, but may not share the report (or any information contained therein) with any person or persons outside of the enterprise location. There is no time limit access to the report. Customers who infringe these license terms are liable for damages which may easily exceed £35,000. The report is in PDF format.

Enterprise License: This license allows for use of a report by an unlimited number of people within the same enterprise worldwide. Each of these people may use the report on any computer, and may print out the report, but may not share the report (or any information contained therein) with any other person or persons outside of the enterprise. If datasets are part of the agreement this will be agreed on purchase and will refer to the Excel spreadsheets we have formulated and detail the global, regional/national and submarket forecast data as shown in our reports. There is no time limit for accessing the report. Customers who infringe these license terms are liable for damages which may easily exceed £35,000. The report is in PDF format.

Global License: This license allows for use of a report by an unlimited number of people within the same enterprise worldwide. Each of these people may use the report on any computer, and may print out the report, they may also share the report (or any information contained therein) with any other person or persons inside the enterprise and its subsidiaries or parent company. This is the only license that also allows the company to share the information with external consultants when named and agreed in writing by Visiongain. If datasets are included in the arrangement this refers to the Excel spreadsheet that we have formulated and which details the global, regional/national and submarket data as shown within our reports. Use by External Consultants

Under a Global Licence, the customer may share the report with external consultants solely where those consultants are engaged to provide services directly to the purchasing organisation or its authorised subsidiaries or parent company.

Such access is permitted only for the purposes of that engagement. The customer must ensure that external consultants are subject to confidentiality and usage restrictions no less protective than the applicable Visiongain licence terms.

External consultants may not reproduce, publish, redistribute, sublicense, resell or otherwise commercially exploit the report, its datasets or research findings for their own purposes or for the benefit of other clients.

The purchasing organisation remains responsible for ensuring that its authorised consultants comply with these restrictions. Consultant access must cease when the relevant engagement ends, and copies must be deleted or returned, subject to any legally required retention.

No external publishing, promotional or commercial reproduction rights are granted through consultant access.

Multiple Report Packages: Many Visiongain loyalty clients buy multiple report packages and library subscriptions. License rules vary based on the type of report licences chosen on the package deal. However, the timeline in which the client can call their reports will be limited to a 2 year period. After that 2-year cut-off period has ended, the client will need to renew their package to call for any more reports, regardless of how many reports are still left uncalled from their original reports package.

Library Access: The library access is limited to 12 months and four users. Unless Visiongain is given written notice of at least three months, the 12-month contract will automatically renew each year.

All report licences are subject to the Intellectual Property, Data Use and Publication Rights provisions above. External publishing, promotional and commercial reproduction rights are not included in any standard report licence except as expressly permitted under those provisions or authorised through a separate written agreement with Visiondata Ltd.
